EXEMPTED COMPANY INFORMATION

The concept of Bermuda's development in the international business arena dates back to the 1950's. During the last forty years Bermuda has registered 9550 international companies ("exempted companies") and has become a leading offshore domicile.

Why Bermuda?

REGULATION: Exempted Company business is regulated by Acts of Parliament, specifically The Companies Act, 1981. Incorporation of exempted companies in Bermuda may be accomplished by a special Act of Parliament or by registration and filing, thus known as "incorporating an Exempted Company".

Types of Companies:

LOCAL COMPANIES: Must have a 60% Bermudian ownership.

EXEMPTED COMPANIES: Can have a 100% ownership that is not Bermudian. An exempted company is exempt from tax and may trade only outside Bermuda or with other exempted companies incorporated in Bermuda.

PERMIT COMPANIES: Companies incorporated outside Bermuda which have applied for permission to be allowed to trade from Bermuda.

Taxation:

Our Island at this time does not have any tax on profits, dividends or income, both corporate and personal. There are no capital gains or gift taxes. Exempted companies may apply for exemption from any taxes on profits or income until the year 2016 should such taxes ever be implemented in Bermuda.

What is a Trust?

A Trust is a legal relationship whereby one individual transfers legal title of certain assets to another who in turn holds and manages these assets for the benefit of others.

Who needs a Trust?

Fundamental reasons for establishing a trust may include any number of the following;

  • Provision for spouses, dependents, unborn grandchildren, friends and charities.
  • Efficient and timely distribution of assets upon death.
  • Preservation of family wealth from frivolous and less responsible family members.

Who is behind a Trust?

The Settlor is an individual who gives property to the trustee(s) to hold for and on behalf of the beneficiaries

The Trustee(s) is a person(s) who holds the legal title to the Trust Fund and who are obliged to administer the Trust for and on behalf of the beneficiaries.

The Beneficiaries are the recipients of the Trust and can be individuals, companies or charities

Globally we tap a pool of investment advisors who we evaluate continually including, Goldman Sachs, Pain Webber and Cazenove. Additionally we utilize Fidelity, Vanguard and LGT (now Amverscap) for fund investments.
